Terms of Service

Split Ledger is a software workflow utility developed by Dumb Luck Media LLC. The application provides automated receipt data extraction via artificial intelligence, multi-entity split-mathematics calculations, and programmatic transmission of transaction data and receipt images to user-connected endpoints, including Intuit QuickBooks Online and Google Drive. Split Ledger is an operational routing utility, not a certified public accounting firm, financial advisor, or legal consultancy.

• Non-Delegable Verification Duty: While Split Ledger utilizes state-of-the-art AI vision models to interpret receipts, artificial intelligence is susceptible to misinterpreting damaged, low-contrast, faded, or irregularly formatted receipts. You acknowledge that you remain the sole "Person In Command" (PIC) of your financial records and corporate tax submissions.
• Review Requirement: You are strictly obligated to inspect and verify all extracted vendor names, dates, amounts, itemized sales taxes, and entity tags before authorizing final sync into your accounting ledgers.
• No Advisory Services: Split Ledger does not audit, reconcile, or offer professional opinions on the tax deductibility or statutory validity of your expenses. You are solely responsible for ensuring substantiation meets applicable IRS and jurisdictional standards.

• Computational Nature: Split calculations (such as equal splits between operating subsidiaries or parent-holding overhead allocations) are automated calculations based entirely on your configuration.
• Inter-Company Compliance: You maintain sole legal and operational responsibility for maintaining proper corporate documentation, inter-company accounting agreements, and arm's-length allocation practices across your business entities. Split Ledger disclaims any liability for corporate veil-piercing, co-mingling disputes, or statutory tax penalties arising from your allocation choices.

• Included AI Service: Split Ledger supplies the core AI vision engines required to parse receipts. The AI service is managed entirely on Split Ledger's server infrastructure; you are never asked to enter or manage AI API credentials in the app.
• Fair Use & API Guardrails: You agree not to abuse, reverse-engineer, automate scraping against, or submit non-receipt files, hostile binaries, or unlawful payloads to our processing infrastructure. We reserve the right to throttle, suspend, or terminate accounts submitting excessive or malicious requests.

Split Ledger routes data and images to external services (QuickBooks Online, Google Drive) via authorized third-party APIs. We are not responsible for:

• Interruptions, downtime, or rate-limiting enforced by Intuit Inc. or Google LLC.
• Data losses, file deletions, or sync failures occurring inside your third-party storage environments once a file has been successfully transferred.
• Changes made to third-party API terms that may alter feature availability.

Split Ledger is free during early access. We'll give you notice, and ask for your agreement, before any paid plan starts.

• "As-Is" Provision: SPLIT LEDGER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT AI EXTRACTION WILL BE COMPLETELY ERROR-FREE.
• Cap on Damages: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPLIT LEDGER, DUMB LUCK MEDIA LLC, ITS AFFILIATES, OFFICERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST REVENUE, TAX PENALTIES, BOOKKEEPING AUDIT EXPENSES, OR LOST EXPENSE RECORDS).
• Maximum Liability: OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF SPLIT LEDGER SHALL NOT EXCEED THE TOTAL SUM ACTUALLY PAID BY YOU TO SPLIT LEDGER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

These Terms are governed by and construed under the laws of the State of Idaho, USA, without regard to conflict-of-law principles. Any legal action or proceeding arising under these Terms shall be instituted exclusively in state or federal courts situated in Bannock County, Idaho.
